Company registration

Industrial and commercial registration means that the establishment of a company must apply to the company registration authority for establishment registration in accordance with the law, and the company shall carve a seal with its business license, open a bank account and apply for tax registration。At present, China's company registration authority is the administrative authority for industry and commerce。自From March 1, 2014, the threshold for incorporation of a company will be lowered。On December 28, 2013, the Sixth session of the Standing Committee of the 12th National People's Congress decided to amend the Company Law of the People's Republic of China, change the paid-in registration system of company registered capital to the subscription registration system, and cancel the minimum amount of registered capital。

Limited liability company

1. Application for Company Registration (Record) signed by the legal representative of the Company。

2. Certificate of Designated Representative or Jointly Entrusted Agent signed by all shareholders and copy of ID card of designated representative or entrusted agent;It shall indicate the matters to be handled by the designated representative or the jointly entrusted agent, the authority and the term of authorization。

3. Articles of Association signed by all shareholders。

Note: It can be downloaded from the website of the Trade and Industry BureauA sample of "Articles of Association" can be amended。The final articles of Association shall be signed and dated by all shareholders。

4. Copy of the shareholder's qualification certificate or the identity certificate of the natural person。

5. Documents of appointment of directors, supervisors and managers (resolutions of the shareholders' meeting shall be signed by the shareholders, resolutions of the board of directors shall be signed by the directors of the company) and photocopies of identity certificates。

Company limited by shares

1, "Company registration (record) application";

2. The Power of Attorney of the Appointed Representative or jointly entrusted Agent and a copy of the ID card of the appointed representative or entrusted agent;

(3) Minutes of the general meeting of shareholders signed by the chairman of the meeting and the directors present at the meeting (minutes of the meeting established by the company and submitted to the founding meeting);

4. Articles of association signed by all the promoters or signed by the directors attending the shareholders' meeting or founding meeting;

（1) If the originator is an enterprise, submit a copy of the business license;

（4) If the initiator is a private non-enterprise unit, submit a copy of the certificate of the private non-enterprise unit;

（5) Other promoters submit qualification certificates as required by relevant laws and regulations。

(6) The joint-stock limited company established by the raising shall submit a capital verification certificate issued by a capital verification institution established in accordance with the law, and if the initiator's initial contribution is non-monetary property, the documentary proof of the transfer of property rights shall be submitted;
